A unilateral or one-way NDA is used when only one side shares confidential information — for example, a company showing an unreleased product to a contractor. There is a fixed Disclosing Party and Receiving Party, and only the recipient has confidentiality obligations. A mutual or bilateral NDA is used when both sides will exchange confidential information, such as two companies exploring a partnership or acquisition; each party is both discloser and recipient and the duties apply reciprocally. This generator phrases the parties block, the obligations and the remedies clause automatically based on which type you choose.

Whether an NDA is binding and enforceable depends on how Confidential Information is defined, how long the obligations last, the governing law, and clause-specific rules — overly broad definitions, indefinite terms and aggressive non-solicitation or "return or destroy" clauses are sometimes limited or struck down by courts, and the rules differ between jurisdictions. The tool cannot know your specific deal or which laws apply, so it does not guarantee enforceability.
